Terms & Conditions
These Terms & Conditions govern access to and use of CircleLogix, including the CircleLogix platform, customer communications, estimates, invoices, approvals, messaging, reporting, inventory, integrations, and related services.
Customers may receive transactional SMS messages related to service estimates, repair updates, and invoices. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. By providing a phone number to a shop using CircleLogix, a customer may also receive related transactional service requests, reminders, approvals, and service updates where applicable. Reply HELP for assistance if supported. CircleLogix does not send marketing or promotional SMS through this workflow unless separately authorized.
1. Introduction and Acceptance of Terms
These Terms & Conditions (the “Terms”) are a binding agreement between CircleLogix and the individual, shop, business, or other entity that accesses or uses CircleLogix. By accessing, browsing, logging into, or using CircleLogix, you agree to these Terms.
If you use CircleLogix on behalf of a business, repair facility, fleet, or other organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
CircleLogix provides a cloud-based shop management platform that may include workflow management, work orders, estimates, approvals, invoicing, customer communications, payment recording, inventory, purchase orders, reporting, document parsing, AI-assisted features, and integrations with third-party services. Features may change, expand, or be removed from time to time.
3. Beta and Pre-release Services
Beta, preview, pilot, or other pre-release environments or features may be provided on an “as is” and “as available” basis. Beta features may be incomplete, contain errors, or change without notice. You are responsible for reviewing important outputs, calculations, messages, approvals, inventory updates, and financial records before relying on them.
4. Account Registration and Security
You must provide accurate, current, and complete account information and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must promptly notify CircleLogix of any unauthorized access, suspected breach, or misuse.
5. Shop Data and Customer Data
You represent that you have the right to upload, process, store, transmit, and use the shop, customer, vehicle, unit, invoice, estimate, and operational data that you submit to CircleLogix. CircleLogix may host, process, and store that data as needed to provide, secure, support, improve, and monitor the service.
You remain responsible for the accuracy, completeness, and lawful use of the data you submit, including the collection and use of customer contact information.
6. Estimates, Invoices, and Approvals
CircleLogix facilitates estimates, customer approvals, invoices, workflow records, and related communications. Shops are solely responsible for reviewing prices, taxes, totals, labor lines, part lines, fees, discounts, invoice amounts, and customer-facing communications before sending or finalizing them.
Customer approvals captured through CircleLogix are records generated through the shop’s selected workflow. The shop remains responsible for confirming that each approval or decline is collected, interpreted, and used in compliance with applicable law, consumer protection rules, business practices, and shop policy.
7. Electronic Signatures and Authorizations
CircleLogix may support electronic signatures, typed acknowledgements, digital approvals, and similar consent workflows. To the extent permitted by applicable law, you agree that electronic records and signatures may be binding. Shops remain responsible for ensuring that their use of electronic approvals and signatures is appropriate for their jurisdiction, business model, and customer relationships.
8. Messaging, Email, and SMS
CircleLogix may send transactional email and SMS on behalf of a shop using platform-managed providers. These communications may include estimates, invoices, service updates, reminders, account invitations, password resets, and similar operational notifications. Shops are responsible for lawfully collecting customer email addresses and phone numbers and obtaining any required consent before using messaging features.

- Carrier delivery timing and inbox placement are not guaranteed.
- CircleLogix may suspend or restrict messaging for suspected spam, abuse, fraud, or policy violations.
9. Twilio / SMS Consent Language
Customers may receive transactional SMS messages related to service estimates, repair updates, and invoices. By providing a phone number to a shop using CircleLogix, a customer may also receive transactional SMS related to service requests, reminders, approvals, and service updates. CircleLogix does not send marketing or promotional messaging through this transactional workflow unless separately authorized.

10. Email Communications
CircleLogix may send transactional emails for estimates, invoices, account invitations, password resets, service notifications, receipts, and related communications. Accurate recipient addresses are required. Delivery is not guaranteed, and message routing may depend on third-party providers.
11. Payments and Financial Responsibility
Shops are responsible for their own payment policies, invoice amounts, taxes, fees, discounts, and repair charges. End customers remain responsible for approved services and related charges according to the shop’s own business terms. Unless CircleLogix explicitly states otherwise in a separate agreement, CircleLogix is not the merchant of record for repair services sold by a shop.
12. Integrations and Third-Party Services
CircleLogix may connect with or rely on third-party services, including payment, messaging, telematics, document parsing, AI providers, and other external systems. CircleLogix is not responsible for third-party outages, errors, API changes, suspensions, or policy decisions. Use of third-party features may also be subject to those providers’ own terms.
13. AI, Document Parsing, and Automation Disclaimer
CircleLogix may offer AI-assisted or automated features, including PDF parsing, categorization, auto-fill, normalization, enrichment, messaging suggestions, and workflow automation. These features may produce errors, omissions, or incorrect results. You remain responsible for reviewing all AI-assisted or automatically extracted outputs before relying on them.
- CircleLogix does not guarantee the accuracy of AI-generated or automatically extracted content.
- Users must verify quantities, prices, taxes, categories, totals, inventory actions, and recipient details.
- Automated or AI-assisted outputs should be treated as assistive, not final, unless independently reviewed.
14. Acceptable Use
- You may not use CircleLogix for unlawful, fraudulent, deceptive, or abusive activity.
- You may not use CircleLogix to send spam, unauthorized messaging, or communications without required consent.
- You may not upload data you do not have the right to use.
- You may not attempt to disrupt, probe, or bypass platform security or availability controls.
- You may not misuse APIs, automations, or integrations in a way that harms CircleLogix, shops, providers, or customers.
15. Availability and No Warranty
To the maximum extent permitted by law, CircleLogix is provided on an “as is” and “as available” basis. CircleLogix does not warrant that the service will be uninterrupted, error-free, secure, timely, or suitable for every use case. Maintenance, outages, provider issues, bugs, and feature changes may occur.
16. Limitation of Liability
To the maximum extent permitted by law, CircleLogix and its affiliates, officers, employees, contractors, licensors, and suppliers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity arising out of or related to the service.
To the maximum extent permitted by law, CircleLogix’s aggregate direct liability for claims arising out of or related to the service will not exceed the amounts paid by the applicable customer to CircleLogix for the service during the twelve (12) months preceding the event giving rise to the claim. For beta or no-fee use, liability is limited to the maximum extent allowed by law.
17. Indemnification
You agree to defend, indemnify, and hold harmless CircleLogix and its affiliates, officers, employees, contractors, licensors, and suppliers from and against claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from or related to your use of the service, your data, unlawful messaging, inaccurate or misleading communications, violation of applicable law, or breach of these Terms.
18. Suspension and Termination
CircleLogix may suspend, restrict, or terminate access to the service for abuse, fraud, policy violations, legal or compliance concerns, risk to the platform, failure to pay amounts due, or any other reason permitted by applicable law or agreement.
19. Changes to Terms
CircleLogix may update these Terms from time to time. The updated version will be posted at https://beta.circlelogix.com/terms with a revised last-updated date. Continued use of CircleLogix after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Michigan, without regard to its conflict of laws rules. Subject to applicable law, the parties agree that courts located in Michigan will have exclusive jurisdiction and venue over disputes arising out of or relating to these Terms or the service.
